     As requested in your letter of June 13, 1977, we have reviewed the
audit report of the Veterans of Foreign Wars of the United States for
the year ended August 31, 1976. Our review was directed to determining
whether ,he report complies with the financial reporting requirements
for federa&% chartered corporations set :'orth in Public Law 88-504,
eFproved August 30, 1964 (36 U.S.C. 1101.). The Veterans of Foreign
Wars of the United States was chartered by ihe act of May 28, 1936
(49 Stat. 1390).

     The audit report was prepared by a firm of certified public
accountants. It included a statement of the scope of audit and the
audiLor's opinion that the financial statements presen. fairly the
financial position of the VeteL-ans of Foreign Wars of the United
Stater at August 31, 1976, and the results of operations and changes
in find balances for the year then ended, in conformity with generally
accepted accounting principles appl__d on a basis consistent with the
preceding year. 'Inour opinion, the audit and financial reporting
requirements of the act have been met.

     We are returning the audit report sent with your letter of
June 13, 1977.!
