                 We received concerns 1 that an NSF-funded company2 may lack adequate facilities, may have
         had an ineligible PI, 3 and may have had conflicts of interest concerning a second PI4 and the facilities
         of an affiliated university. 5 We determined that the company did have facilities and that the
         cognizant Program Officer6 did not have concerns about the company's PI. However, we determined
         the company entered into subcontracts with the university without any money budgeted for
         subawards and without NSF's knowledge or permission. We recommended suspension and
         ultimately termination of the company's award, 7 which NSF accepted. The university returned
         money it had received under the unapproved subcontracts to NSF. The U.S. Department of Justice
         declined this case for prosecution.

                   This case is closed with no further action taken.
